Ace Future Kitchen

1. Introduction

These Terms and Conditions govern the relationship between Ace Future Kitchen (“the Company”) and its clients, suppliers, partners, and any party engaging with our services. By engaging Ace Future Kitchen for any scope of work, you agree to be bound by these terms in full.

Ace Future Kitchen is a leading commercial kitchen, laundry, and bakery equipment contractor headquartered in Riyadh, Saudi Arabia, providing equipment supply, installation, testing and commissioning, maintenance, and project management services.

2. Scope of Services

Ace Future Kitchen provides the following services:

  • Supply — Procurement and delivery of commercial kitchen, laundry, and bakery equipment from world-leading manufacturers and brand partners
  • Installation — Professional installation of equipment by our skilled technical team
  • Testing & Commissioning — Startup, performance testing, and quality verification of all installed equipment
  • Maintenance & Support — Comprehensive after-sales maintenance plans and ongoing technical support
  • Project Management — Site coordination, quality control, and handover management in collaboration with main contractors and consultants

Ace Future Kitchen does not provide kitchen consultancy or layout preparation services. Our scope is strictly limited to supply, installation, commissioning, maintenance, and project management as described above.

3. Quotations and Proposals

  • All quotations issued by Ace Future Kitchen are valid for a period of 30 days from the date of issue unless otherwise stated in writing
  • Quotations are based on the information and specifications provided at the time of enquiry. Any changes to scope, quantities, or specifications may result in revised pricing
  • A quotation does not constitute a contract. A binding agreement is only established upon receipt of a formal signed purchase order or contract document
  • Prices quoted are exclusive of VAT and any applicable government levies unless explicitly stated otherwise

4. Orders and Confirmation

  • All orders must be confirmed in writing via a signed purchase order or formal contract
  • Ace Future Kitchen reserves the right to decline any order at its sole discretion
  • Once an order is confirmed and procurement has commenced, cancellations or modifications may be subject to applicable charges depending on the stage of procurement or fabrication
  • For custom fabricated items, orders are non-cancellable once fabrication has begun

5. Payment Terms

  • Payment terms will be as agreed and stated in the signed contract or purchase order
  • Standard payment terms are as follows unless otherwise agreed:
    • An advance payment is required prior to order placement
    • Progress payments may apply for large-scale or multi-phase projects
    • Final payment is due upon completion and handover
  • Ace Future Kitchen reserves the right to suspend services or withhold delivery of equipment in the event of non-payment or delayed payment
  • Any disputed invoices must be raised in writing within 7 days of receipt. Undisputed portions of invoices remain payable on the agreed due date

6. Delivery and Lead Times

  • Estimated delivery and installation timelines will be communicated at the time of order confirmation
  • Lead times are subject to manufacturer availability, customs clearance, and site readiness
  • Ace Future Kitchen shall not be held liable for delays caused by factors beyond our reasonable control, including but not limited to supplier delays, shipping disruptions, force majeure events, or site conditions not being ready for installation
  • The client is responsible for ensuring the site is prepared and accessible as per agreed timelines. Any delays caused by site unreadiness may result in additional costs

7. Installation and Site Responsibilities

  • Installation will be carried out by Ace Future Kitchen’s qualified technical team in accordance with approved drawings and manufacturer recommendations
  • The client or main contractor is responsible for ensuring that all MEP (Mechanical, Electrical, and Plumbing) connections are available and terminated within one meter of the equipment location prior to installation
  • Site access, service lifts, and necessary permits required for installation shall be arranged by the client or main contractor
  • Ace Future Kitchen shall not be responsible for any civil, structural, or MEP works unless explicitly included in the agreed scope

8. Material Submittals and Approvals

  • Prior to procurement, Ace Future Kitchen will prepare and submit material submittals for consultant review and approval
  • Procurement will only commence upon receipt of written approval from the authorized consultant or client representative
  • Any delays in the approval process that affect project timelines shall not be the responsibility of Ace Future Kitchen
  • Approved submittals form the basis of supply. Any changes requested after approval may result in cost and schedule implications

9. Testing, Commissioning, and Handover

  • Upon completion of installation, Ace Future Kitchen will conduct pre-commissioning checks, startup procedures, and performance testing for all equipment
  • A formal inspection request will be submitted to the consultant or client for witnessing and sign-off
  • Any items identified on a snag list during preliminary handover will be addressed prior to final handover
  • Operation and maintenance training will be provided to the end user or hotel operator as part of the handover process
  • Final handover documentation, including warranty certificates and operation manuals, will be submitted upon project completion

10. Warranty

  • All standard equipment supplied by Ace Future Kitchen carries the manufacturer’s warranty as applicable
  • Warranty terms vary by brand and equipment type and will be communicated at the time of handover
  • Warranty covers manufacturing defects under normal operating conditions and does not cover damage caused by misuse, improper operation, unauthorized modifications, or lack of proper maintenance
  • Custom fabricated items carry a warranty as agreed and stated in the project contract
  • Warranty claims must be submitted in writing to Ace Future Kitchen. Our service team will assess and respond within a reasonable timeframe

11. Maintenance and After-Sales Support

  • Ace Future Kitchen offers comprehensive maintenance plans tailored to client requirements
  • Maintenance services outside of warranty are subject to separate agreement and applicable charges
  • Our service team is available to support clients with spare parts, technical assistance, and periodic servicing

12. Intellectual Property

  • All documents, drawings, submittals, and technical materials prepared by Ace Future Kitchen remain the intellectual property of the Company unless otherwise agreed in writing
  • These materials may not be reproduced, shared, or used for any purpose other than the intended project without prior written consent from Ace Future Kitchen

13. Confidentiality

  • Both parties agree to keep all project-related information, pricing, and technical details confidential
  • Neither party shall disclose any confidential information to third parties without prior written consent, except where required by law or regulatory authority

14. Limitation of Liability

  • Ace Future Kitchen’s liability in connection with any project or service shall not exceed the total value of the contract for that specific project
  • The Company shall not be liable for any indirect, consequential, or incidental losses, including but not limited to loss of revenue, loss of profit, or business interruption
  • Ace Future Kitchen shall not be responsible for damages arising from improper use of equipment, unauthorized modifications, or failure to follow manufacturer operating guidelines

15. Force Majeure

Ace Future Kitchen shall not be held in breach of these Terms and Conditions or liable for any delay or failure to perform its obligations if such delay or failure results from circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters or extreme weather events
  • Government actions, restrictions, or regulatory changes
  • Strikes, labor disputes, or supply chain disruptions
  • Pandemics or public health emergencies
  • War, civil unrest, or political instability

In such events, Ace Future Kitchen will notify the client promptly and work to resume normal operations as soon as reasonably possible.

16. Governing Law and Dispute Resolution

  • These Terms and Conditions are governed by the laws and regulations of the Kingdom of Saudi Arabia
  • In the event of any dispute arising from or related to these terms or any project engagement, both parties agree to first attempt resolution through good-faith negotiation
  • If a resolution cannot be reached, disputes shall be referred to the competent courts or arbitration bodies in the Kingdom of Saudi Arabia in accordance with applicable law

17. Amendments to These Terms

Ace Future Kitchen reserves the right to update or amend these Terms and Conditions at any time. Clients will be notified of significant changes. Continued engagement with our services following any amendment constitutes acceptance of the revised terms.
